This document serves as both the Terms of Use and Privacy Policy for the Zoomer website located at Zoomer | Gen Z social media platform. It outlines the terms and conditions governing your use of the Site and describes how Transparent Hub UG Limited (THUL) collects, uses, and discloses your information.
1. Company Information
Zoomer website is a copyrighted work belonging to Transparent Hub UG Limited (THUL), currently in test mode and pending registration under the Companies Act of Uganda, 2012. Once registered, Transparent Hub UG Limited (THUL) will be based in Kampala, Uganda, with registration number [To be inserted upon registration].
By accessing or using the Site, you agree to be bound by these Terms of Use and Privacy Policy ("Terms"). You represent that you have the legal capacity to enter into these Terms. If you are under the age of 18, you confirm that you have obtained consent from your parent or legal guardian to use the Site. If you do not agree to all the provisions of these Terms, do not access or use the Site.
3. Scope of Terms
These Terms govern your use of the Site, including all features, functionalities, and content provided therein. Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms
4. Privacy Policy
4.1 Information We Collect
We collect information about you in a range of ways, as described below.
Information You Provide Directly: We collect information you provide directly to us, including your name, contact number, email address, username, and password when you register for an account.
Information from Third-Party Sources: We may receive information about you from third-party sources, such as when you access our Site through a third-party connection or log-in. In such cases, the third party may pass certain information about your use of its service to us.
Automatically Collected Information: We automatically collect certain information about you and your computer or device when you access or use our Site. This information may include your computer operating system type, browser type, browser language, the website you visited before browsing to our Site, the pages you viewed, how long you spent on a page, access times, and information about your use of and actions on our Site.
Cookies: We may use "cookies," which are small data files stored on your hard drive by a website. We may use both session cookies (which expire after you close your browser) and persistent cookies (which remain on your computer until you delete them) to provide you with a more personal and interactive experience on our Site. This information is collected to make the Site more useful to you and to tailor your experience with us to better meet your interests and needs.
Web Beacons: We may also use web beacons (also referred to as clear gifs, pixel tags, or single-pixel gifs), which are tiny graphics with a unique identifier, similar in function to cookies. Web beacons are used to track the online movements of web users. Unlike cookies, which are stored on a user's computer hard drive, web beacons are embedded invisibly on web pages and are about the size of the period at the end of this sentence. Log Data: Like most website providers, we collect information that your browser sends whenever you visit our website (“Log Data”). This Log Data may include information such as your computer's Internet Protocol (“IP”) address, browser type, browser version, the pages of our website that you visit, the time and date of your visit, the time spent on those pages, and other statistics.
4.2 Use of Information
We use your information for the following purposes:
- To operate, maintain, and improve our Site, products, and services;
- To process and deliver contest entries and rewards.
- To respond to your comments and questions and provide customer service.
- To send you information, including confirmations, invoices, technical notices, updates, security alerts, and support and administrative messages.
- To communicate with you about promotions, upcoming events, and news about products and services offered by us and our selected partners, where you have provided your consent to receive such communications.
- To link or combine user information with other personal information to better understand your needs and provide you with a more personalized experience.
- To provide and facilitate the delivery of services you request.
- To monitor and analyze site usage and trends;
- To personalize and improve our site.
4.3 Sharing of Information
We may share your personal information as follows:
With Your Consent: We will share your personal information with third parties when we have your consent to do so.
With Service Providers: We may share your information with third-party vendors, consultants, and other service providers who are working on our behalf and need access to your information to perform services related to the Site. These service providers are authorized to use your personal information only as necessary to provide these services to us.
For Legal Reasons: We may disclose your information to:
(i) comply with laws or respond to lawful requests and legal process,
(ii) protect the rights and property of Transparent Hub UG Limited (THUL) and our agents, customers, and others, including to enforce our agreements, policies, and terms of use, and,
(iii) in an emergency to protect the personal safety of Transparent Hub UG Limited (THUL) employees, our customers, or any person.
Business Transfers: In connection with or during negotiations of any merger, sale of company assets, financing, or acquisition of all or a portion of our business to another company.
Aggregated and De-Identified Information: We may also share aggregated and de-identified information with third parties for marketing, advertising, research, or similar purposes. This information does not identify you individually.
4.4 Your Information Choices
Opt-Out of Promotional Communications: You may opt out of receiving promotional communications from us. If you do so, this will only stop future promotional communications. We may still communicate with you about your account and any services you have requested.
Access, Correction, and Deletion: In accordance with the Data Protection and Privacy Act, 2019 of Uganda, you have the right to access, correct, and request deletion of your personal information. To exercise these rights, please contact us using the information in the "Contact Us" section below.
Cookies: You can set your browser to refuse all or some browser cookies, or to alert you when websites set or access cookies. If you disable or refuse cookies, please note that some parts of this website may become inaccessible or not function properly.
4.5 Security of Your Personal Information
We take reasonable and appropriate measures to help protect your personal information from loss, misuse, and unauthorized access, disclosure, alteration, and destruction. These measures include encryption, firewalls, access controls, etc.
However, no data transmission over the Internet or any wireless network can be guaranteed to be 100% secure. As a result, while we strive to protect your personal information, you acknowledge that: (a) there are security and privacy limitations of the Internet that are beyond our control; and (b) the security, integrity, and privacy of all information and data exchanged between you and our Site cannot be guaranteed.
4.6 Data Retention
We will retain your personal information for as long as necessary to fulfill the purposes for which it was collected, as outlined in this Privacy Policy, unless a longer retention period is required or permitted by law. Specifically, we will retain Account Information for the duration of your account activity plus 30 days after account deletion, Conversation History for 1 year after last interaction, Usage Data for 6 months after collection, and Payment Information for 7 years after transaction completion, as required by financial regulations. Our retention periods are determined based on legal requirements, the purpose of collection, and user consent.
4.7 Children's Privacy
Our Services are not designed for children under 18. We do not knowingly collect personal information from children under 18. If we become aware that we have collected personal information from a child under 18, we will take steps to delete such information from our systems. If you are a parent or guardian and you learn that your child under 18 has provided us with personal information, please contact us.
4.8 Cross-Border Data Transfers
If your personal information is transferred to a country outside Uganda, we will take steps to ensure that your information is protected in accordance with the requirements of the Data Protection and Privacy Act, 2019, of Uganda, and other applicable laws. We protect your personal information during international transfers through robust safeguards, including encryption, pseudonymization, strict access controls, data minimization, and contractual arrangements, ensuring comprehensive security.
4.9 Changes to this Privacy Policy
We may update this privacy policy from time to time. If we make changes, we will notify you by revising the date at the top of the policy and, in some cases, we may provide you with additional notice (such as adding a statement to our homepage or sending you a notification). Your continued use of the Site after the revised policy has become effective indicates that you have read, understood, and agreed to the current version of this policy.
5. Access to the Site
Subject to these Terms, Transparent Hub UG Limited (THUL) grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site solely for your personal, noncommercial purposes.
5.1 Certain Restrictions
The rights granted to you in these Terms are subject to the following restrictions: (a) you shall not sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site; (b) you shall not modify, create derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site; (c) you shall not access the Site to build a similar or competitive website; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means, unless otherwise indicated. Any future release, update, or other addition to the functionality of the Site shall be subject to these Terms. All copyright and other proprietary notices on the Site must be retained on all copies thereof.
5.2 Modification of Site
Transparent Hub UG Limited (THUL) reserves the right to change, suspend, or discontinue the Site, in whole or in part, with or without notice to you. You agree that Transparent Hub UG Limited (THUL) shall not be liable to you or any third party for any modification, suspension, or termination of the Site or any part thereof.
5.3 No Support or Maintenance
You acknowledge and agree that Transparent Hub UG Limited (THUL) shall have no obligation to provide you with any support or maintenance in connection with the Site.
5.4 Intellectual Property
Excluding any User Content that you may provide, you acknowledge that all intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Site and its content are owned by Transparent Hub UG Limited (THUL) or Transparent Hub UG Limited (THUL's) licensors. These Terms and your access to the Site do not grant you any rights, title, or interest in or to any intellectual property rights, except for the limited access rights expressly set forth in Section 5.1. Transparent Hub UG Limited (THUL) and its licensors reserve all rights not expressly granted in these Terms.
6. User Content
6.1 User Content
"User Content" means any and all information and content that a user submits to the Site. You are solely responsible for your User Content. You bear all risks associated with the use of your User Content. You represent and warrant that your User Content does not violate our Acceptable Use Policy. You may not represent or imply to others that your User Content is in any way provided, sponsored, or endorsed by Transparent Hub UG Limited (THUL). Because you alone are responsible for your User Content, you may be held liable for it. Transparent Hub UG Limited (THUL) is not obligated to back up any User Content that you post, and your User Content may be deleted at any time without prior notice to you. You are solely responsible for creating your own backup copies of your User Content if desired.
6.2 License to User Content
You hereby grant to Transparent Hub UG Limited (THUL) an irrevocable, nonexclusive, royalty-free, fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, solely for the purposes of including your User Content in the Site. You hereby irrevocably waive any and all moral rights or rights of attribution with respect to your User Content to the extent permitted by applicable law.
7. Acceptable Use Policy
The following terms constitute our "Acceptable Use Policy": You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content that: (i) violates any third-party right or any intellectual property or proprietary right; (ii) is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another's privacy, vulgar, defamatory, false, intentionally misleading, trade libelous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual; (iii) is harmful to minors in any way; or (iv) violates any law, regulation, or obligation or restriction imposed by any third party.
In addition, you agree not to: (i) upload, transmit, or distribute to or through the Site any software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages; (iii) use the Site to harvest, collect, gather, or assemble information or data regarding other users without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site, or violate the regulations, policies, or procedures of such networks; (v) attempt to gain unauthorized access to the Site, whether through password mining or any other means; (vi) harass or interfere with any other user's use and enjoyment of the Site; or (vii) use any software, automated agents, or scripts to create multiple accounts on the Site, or to generate automated searches, requests, or queries to the Site.
We reserve the right to review any User Content, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of these Terms, or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content, terminating your Account in accordance with Section 10, and/or reporting you to law enforcement authorities.
If you provide Transparent Hub UG Limited (THUL) with any feedback or suggestions regarding the Site, you hereby assign to Transparent Hub UG Limited (THUL) all rights in such Feedback and agree that Transparent Hub UG Limited (THUL) shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Transparent Hub UG Limited (THUL) will treat any Feedback you provide to Transparent Hub UG Limited (THUL) as non-confidential and non-proprietary.
8. Indemnification
You agree to indemnify and hold Transparent Hub UG Limited (THUL) and its officers, directors, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with (a) your use of the Site, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, or (d) your User Content. Transparent Hub UG Limited (THUL) reserves the right to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without the prior written consent of Transparent Hub UG Limited (THUL). Transparent Hub UG Limited (THUL) will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
9. Third-Party Links & Ads; Other Users
9.1 Third-Party Links & Ads
The Site may contain links to third-party websites and services, and/or display advertisements for third parties. Such Third-Party Links & Ads are not under the control of Transparent Hub UG Limited (THUL), and Transparent Hub UG Limited (THUL) is not responsible for any Third-Party Links & Ads. Transparent Hub UG Limited (THUL) provides access to these Third-Party Links & Ads only as a convenience to you, and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links & Ads. You use all Third-Party Links & Ads at your own risk, and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links & Ads, the applicable third party's terms and policies apply, including the third party's privacy and data gathering practices.
9.2 Other Users
Each Site user is solely responsible for any and all of their own User Content. Because we do not control User Content, you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. You agree that Transparent Hub UG Limited (THUL) will not be responsible for any loss or damage incurred as a result of any such interactions. If a dispute arises between you and any Site user, we are under no obligation to become involved.
You hereby release and forever discharge Transparent Hub UG Limited (THUL) and our officers, directors, employees, agents, successors, and assigns from, and hereby waive and relinquish, each and every past, present, and future dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action of every kind and nature, that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Site.
10. Term and Termination
Subject to this Section, these Terms will remain in full force and effect while you use the Site. We may suspend or terminate your rights to use the Site at any time for any reason at our sole discretion, including for any use of the Site in violation of these Terms. Upon termination of your rights under these Terms, your Account and right to access and use the Site will terminate immediately. You understand that any termination of your Account may involve the deletion of your User Content associated with your Account from our live databases. Transparent Hub UG Limited (THUL) shall not have any liability whatsoever to you for any termination of your rights under these Terms. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2, 4, 5.4, 6, 7, 8, 9, and 11 through 14.
11. Dispute Resolution
Please read this Arbitration Agreement carefully. It is part of your contract with Transparent Hub UG Limited (THUL) and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
11.1 Applicability of Arbitration Agreement
All claims and disputes in connection with the Terms or the use of any product or service provided by Transparent Hub UG Limited (THUL) that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and Transparent Hub UG Limited (THUL), and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms.
11.2 Notice Requirement and Informal Dispute Resolution
Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute describing the nature and basis of the claim or dispute, and the relief requested. A Notice to Transparent Hub UG Limited (THUL) should be sent to: support@zoomer.africa. After the Notice is received, you and Transparent Hub UG Limited (THUL) may attempt to resolve the claim or dispute informally. If you and Transparent Hub UG Limited (THUL) do not resolve the claim or dispute within thirty (30) days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award to which either party is entitled.
11.3 Arbitration Rules
Arbitration shall be initiated and conducted in accordance with the laws of Uganda and the rules of the Centre for Arbitration and Dispute Resolution (CADER) of Uganda. The arbitration shall be conducted in Kampala, Uganda, by a single arbitrator to be appointed by CADER. The language of the arbitration shall be English. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
11.4 Small Claims Court
Notwithstanding the foregoing, either you or Transparent Hub UG Limited (THUL) may bring an individual action in small claims court.
11.5 Emergency Equitable Relief
Notwithstanding the foregoing, either party may seek emergency equitable relief before a court of competent jurisdiction in Uganda in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
11.6 Claims Not Subject to Arbitration
Notwithstanding the foregoing, claims of defamation, violation of the Computer Misuse Act of Uganda, and infringement or misappropriation of the other party's patent, copyright, trademark, or trade secrets shall not be subject to this Arbitration Agreement.
11.7 Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of Uganda. You hereby consent to the exclusive jurisdiction of the courts of Uganda for any actions for which the parties retain the right to seek recourse in a court of law under these Terms.
12. General Provisions
12.1 Export and Import Regulations
The Site may be subject to export and import regulations in other countries. You agree not to export, re-export, or transfer, directly or indirectly, any technical data acquired from Transparent Hub UG Limited (THUL), or any products utilizing such data, in violation of such export or import laws and regulations.
12.2 Electronic Communications
The communications between you and Transparent Hub UG Limited (THUL) use electronic means, whether you use the Site or send us emails, or whether Transparent Hub UG Limited (THUL) posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Transparent Hub UG Limited (THUL) in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Transparent Hub UG Limited (THUL) provides to you electronically satisfy any legal obligation that such communications would satisfy if they were in hard copy writing.
12.3 Entire Terms
These Terms constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation." If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
Your relationship to Transparent Hub UG Limited (THUL) is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Transparent Hub UG Limited (THUL)'s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Transparent Hub UG Limited (THUL) may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.
